Terms of Use & License Agreement

1. Acceptance

These Terms of Use and End-User License Agreement (the “Terms”) are a binding agreement between you and PgDeck (“we”, “us”) governing your use of the PgDeck desktop application and related services (“PgDeck”).

By installing or using PgDeck, you accept these Terms. If you do not agree, do not use PgDeck.

2. License Grant

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use PgDeck on devices you own or control.

Free tier: you may use the Free features at no cost. Trial: a free trial is available through a subscription (7 days on monthly, 14 days on yearly). Pro: an active paid subscription (monthly or yearly) unlocks Pro features for the licensed user; if the subscription ends, PgDeck reverts to Free and keeps working.

You may not sell, rent, sublicense, distribute, reverse engineer, decompile, or attempt to derive the source code of PgDeck, except to the extent such restriction is prohibited by applicable law.

3. License Keys & Activation

Paid licenses are delivered as a license key. Each key may be activated on a limited number of devices, as stated at purchase. Keys are issued to you and must not be shared, published, or resold.

We may validate your license periodically over the internet to confirm it is active and within its activation limit, and may suspend a key obtained through fraud, chargeback, or breach of these Terms.

4. Updates

An active Pro subscription includes all updates released while the subscription is active.

If your subscription ends, PgDeck reverts to the Free tier (which also receives updates). Subscriptions renew automatically until cancelled; you may cancel anytime from your receipt.

5. Payments, Taxes & Refunds

Purchases are processed by our authorized reseller and merchant of record, Lemon Squeezy, which handles billing, applicable taxes, and invoicing. Your purchase is also subject to their terms.

Prices may change for future purchases. Refunds, where offered, follow our Refund Policy and the merchant of record’s policies.

6. Your Data & Privacy

PgDeck is a local-first client that connects directly from your device to the database servers you configure. We do not receive, store, or transmit the contents of your databases. Connection credentials are stored locally and encrypted using your operating system’s secure storage.

7. Acceptable Use & Your Responsibility

You are solely responsible for the databases you connect to and every action you perform through PgDeck, including editing, inserting, deleting, truncating, dropping, importing, and restoring data.

Such operations can permanently modify or destroy data. You must ensure you are authorized to access each database and that you maintain your own backups. Use PgDeck only for lawful purposes.

8. Intellectual Property

PgDeck, including its software, design, and trademarks, is owned by us and protected by intellectual-property laws. These Terms grant a license, not a sale; all rights not expressly granted are reserved.

Your data and databases remain yours. We claim no ownership over the content you access through PgDeck.

9. Third-Party Software

PgDeck includes third-party components (for example, the Electron runtime and the PostgreSQL client utilities pg_dump, pg_restore, and psql) provided under their own licenses, which remain subject to their respective terms.

10. Disclaimer of Warranties

PGDECK IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PGDECK WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT IT WILL NOT RESULT IN DATA LOSS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF PGDECK.

OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR PGDECK IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising out of your use of PgDeck, your data, or your breach of these Terms.

13. Termination

These Terms apply until terminated and terminate automatically if you breach them. On termination you must stop using PgDeck and delete it. Provisions that by their nature should survive (ownership, disclaimers, liability, indemnity, governing law) survive termination.

14. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-laws rules, and the courts of India have exclusive jurisdiction over any dispute.

15. Changes to These Terms

We may update these Terms. Material changes will be presented for acceptance the next time you open PgDeck and posted here. Continued use after acceptance constitutes agreement to the updated Terms.
